1. Rights and obligations

1.1. Description of the Service

The “RepManager.ai” service includes a SaaS solution that allows users to centrally manage, analyze, and respond to Google Reviews via AI-generated responses, including notifications, sentiment analysis, and location-based insights.

1.2. Location Management and Data

The user can manage one or more locations via RepManager. Reviews can be retrieved, analyzed and answered per location.
RepManager reserves the right to block or exclude content (such as inappropriate or incomplete reviews) from processing.

1.3. AI functionality

The AI module generates draft responses based on review content and set preferences.
RepManager is not responsible for the legal or substantive accuracy of responses generated. The user remains fully responsible for publication and final inspection.

1.4. Use of (anonymized) data

The user remains the owner of the entered and generated data.
User grants RepManager permission to use anonymized data for:

• improving the AI models,
• training future versions of the system,
• statistical analyses and product development.
  After termination of the subscription, all data will be permanently deleted within 30 days.

1.5. Review Limits and Locations

• During the free trial, up to 1 location can be managed and up to 25 AI responses generated.
• In the Pro package, additional locations can be added for €2.50 per location per month.

2. Subscription and cancellation

2.1. Invoicing and Cancellation

• All subscriptions are billed in advance (month or year).
• The user can cancel at any time. The service will then remain active until the end of the already paid period.
• In case of late cancellation of the trial period, a paid subscription will automatically be switched to.

3. Liability

3.1. Restriction

RepManager is not liable for damage as a result of:

• incorrect or incorrect use of AI responses;
• failure to respond (in a timely manner) to reviews;
• indirect damage such as reputational damage or loss of turnover.

Maximum liability is limited to the amount of the last subscription amount paid.

3.2. Indemnification

User indemnifies RepManager against all third-party claims resulting from the use of the service or generated responses.

4. Final provisions

4.1. Changes

RepManager may change these terms with a minimum of 14 days notice. In case of continued use after change, user agrees to the new terms.

4.2. Transfer

RepManager may transfer all or part of this agreement to a third party, for example in the event of a merger or acquisition.

4.3. Applicable law

These terms and conditions are governed exclusively by Dutch law. Disputes will be submitted to the competent court in Amsterdam.
